TERMS OF USE AND SERVICE

1. Program Enrollment & Program Guidelines

1.1. Program details

  1. This is a legal and binding agreement between you, the User (referred to as “User”, “Student”, “Learner / Learners”, “You” or “Your”) of the Programs, as defined below, and Zell Education Private Limited (referred to as “We”, “Us”, “Our”, “Institute” or “Zell”) stating the terms that govern Your use of the Programs and Platform (as defined below).
  2. Zell offers curated and specially designed certification, upskilling, reskilling, online higher education and industry-relevant diploma programs and career assistance services (“Programs”) through its website www.zelleducation.com (“Website”), mobile apps, Teaching-Learning Process, Learning Management System, Lead Management Systems and Student Management Software (collectively referred to as the “Platform”) and the content, information, services and other materials contained therein (“Services”), which are provided and operated by Zell.
  3. In order to participate in most Platform activities and to apply for a Program, You will need to register for a personal account (“User Account”) by undergoing a verification process to verify Your login credentials such as Your phone number, and/or by providing an email address and a password that is unique.
  4. Zell is an education service provider, offering Programs in consultation with affiliated certification programs partners, educational institutions, Indian and International universities, governmental authorities, corporates, etc. (each an “Educational Partner”).

1.2. Eligibility

  1. Upon payment of the Program fees, depending on the Program – Zell shall deliver the Program Specific Terms and grant You access to the Program.
  2. By enrolling in a Program or accessing the Platform, You represent and warrant that You have the legal capacity and authority to enter into these Terms and agree to comply with all obligations contained herein.

1.3. Academic conduct

  1. The purpose of the policy is to ensure adherence to attendance of live lectures with a minimum mandatory attendance of 75%. Attendance is considered present only when the lecture is attended completely and not left at a partial duration. This ensures that students are getting information in a structured manner and have access to ask their questions during the live session. We do not recommend missing live lectures and going through recordings, as this takes away access to resolving doubts with the faculties. Students are requested to attend the live lecture in full – this will help them clarify their doubts in real time.
  2. If a student does not achieve 75% attendance of live sessions, it will be difficult for Zell Education to ensure that the student is poised to clear the exam.

1.4. Compliance with Institute policies

  1. Please review Our Terms of Use and Service, Privacy Policy and other policies available on the Platform (collectively referred to as the “Terms”) that govern the use of the Platform and Programs. By accessing the Platform, You consent, agree and undertake to abide, be bound by and adhere to the Terms; if You do not adhere to these Terms, You are NOT entitled to avail of/use the Programs, and any use thereafter shall be unauthorized.
  2. Each Program may have a separate set of terms dealing with refunds, deferrals, payments, etc. governing that specific Program (“Program Specific Terms”). Our corporate clients may also have executed separate written agreements with Us (“Corporate Client Agreements”).
  3. Whether You have enrolled in a Program or are simply browsing the Platform, once You have accessed the Platform or Programs, You shall be considered a ‘User’ for these Terms. You are responsible for all Your activities and all activities using Your User Account in connection with the use of the Platform and Programs. You hereby agree to fully comply with all applicable local, provincial, state, national and foreign laws, treaties and regulations in connection with such use. You shall not resort to any unethical practices while using the Platform.
  4. During Your use of the Platform and Programs, You will:
    • Not harass other Users, students, attendees, support agents or visitors;
    • Not create an atmosphere of disharmony and/or hostility within student groups;
    • Not cheat on any homework assignment or exams for the Program;
    • Not post online any secured testing materials;
    • Not share solutions to homework assignments or exams; and
    • Notify the instructors immediately if You become aware of any other User cheating or breaching these Terms, and comply with the requirements of any specific applicable code of conduct relating directly to a Program into which You are enrolled.
  5. Zell Education is committed to providing a safe, respectful, and inclusive learning environment. Learners shall not engage in any form of sexual harassment or unwelcome physical, verbal, non-verbal, written, visual, or electronic conduct of a sexual nature towards any faculty member, employee, mentor, recruiter, placement partner, vendor, fellow learner, or any person associated with Zell.
  6. This clause applies to all Zell-related activities, including classroom sessions, online learning, immersion programs, travel, events, placements, internships, and any interaction connected with a Zell program, whether on or off Zell premises.
  7. Any violation shall constitute a material breach of these Terms, and Zell reserves the right to investigate and take appropriate disciplinary action, including suspension or termination of enrolment, removal from programs, placements, or internships, without prejudice to any rights or remedies available under the Sexual Harassment of Women at Workplace (Prevention, Prohibition and Redressal) Act, 2013, and other applicable laws.

2. Program Delivery, Access & Academic Services

2.1. LMS, course validity, recordings and study material access

  1. Zell makes no representations that the Platform operates (or is legally permitted to operate) in all geographic areas, or that the Platform or information, Services or products offered through it are appropriate or available for use in other locations. Accessing the Platform from territories where it, or any content or functionality thereof, is illegal is expressly prohibited. If You choose to access the Platform, You do so on Your own initiative and at Your own risk, and are solely responsible for compliance with all applicable laws and regulations.
  2. You agree that You are solely responsible for activities that occur on Your User Account and that You will never divulge or share access to Your User Account with any third party for any reason. You also agree to create, use and/or access only one User Account, and not use any account other than Your own.
  3. In setting up Your User Account, You may be prompted or required to enter additional information, including but not limited to Your name and email address, to confirm Your identity. You confirm that all information provided is accurate, current and complete, and agree to keep it that way. If any information provided is untrue, inaccurate, not current or incomplete, We reserve the right to terminate Your use of the Platform and/or Your enrolment into a Program. Access to the Programs is restricted to attendees or students who have specifically been granted access by Zell.
  4. As part of Your use of the Platform or participation in the Programs, We may obtain certain information about You and Your performance, some of which may be Personally Identifiable Information. We may use, maintain and store this information to provide Services now and/or in the future, and may share it with Our Educational Partners or third parties in conjunction with such Services or for marketing – for example, sharing Your grades/scores in Our classes, as further detailed in Our Privacy Policy.
  5. You agree to receive and install updates from Zell from time to time, designed to improve, enhance and further develop the Platform and Programs. You shall be solely responsible for procuring, maintaining, and ensuring compatibility of all hardware, software, internet connectivity, mobile devices, communication services, and any other equipment required to access or use the Platform and Programs. Zell shall not be responsible for any charges, interruptions, or technical issues arising from such equipment or services.
  6. Subject to availability of a suitable batch and capacity, Zell will propose options for a change in mode of learning. Delay in either may cause temporary suspension of LMS access and/or classroom lecture access.
  7. Access to Products & Services will be removed after the duration mentioned in the tables below. Requests pertaining to validity or extension of access to the Zell LMS or any third-party platform shall be addressed exclusively by the Zell Team, subject to applicable policies and timelines communicated by Zell and/or the respective third-party provider.

  1. You understand that access to classes, recordings, LMS, study materials, and other program services is provided for a limited duration applicable to Your enrolled program, subject, or plan. Upon expiry of the validity period, access will be discontinued, and any extension, renewal, or reactivation may be subject to additional charges.
  2. Zell shall not be liable for any interruption, delay, suspension, or non-availability of the Platform, Programs, live sessions, or Services arising from events beyond its reasonable control, including but not limited to acts of God, war, terrorism, pandemic, epidemic, disease, civil unrest, riots, strikes, lockouts, floods, fires, natural disasters, satellite or network failures, public utility failures, governmental actions, or any other force majeure event.
  3. Learners are responsible for maintaining access to Zell Education's official communication channels, including WhatsApp and email. If a learner unsubscribes from, opts out of, marks emails as spam, or blocks Zell Education on any official communication channel, it shall be the learner's sole responsibility to contact Zell Education and restore communication access. Zell Education shall not be responsible for any missed communications, updates, deadlines, class schedules, examination reminders, or other information resulting from such actions by the learner.

2.2. Batch, books and faculty information

  1. Batch Allocation & Transfers – We assign batches to best match Your learning flow and according to Zell's batch schedule. You will receive an email with an acknowledgement form to confirm Your spot before classes begin. Please review Your allocated batch carefully before accepting it. Once You acknowledge and confirm Your spot, batch transfers to another subject or repeat book dispatches are not permitted under any circumstances. Requests for withdrawal, rescheduling, or refunds on the basis of batch timings will not be accepted under any circumstances.
  2. If Your enrolled Course/Learning Mode includes physical study materials, You will receive one complete set. To ensure You get the exact right edition, We dispatch Your books only after Your batch is assigned and Your spot is confirmed. Zell shall not be responsible for the international shipment or delivery of books or any other physical study materials.
  3. The Institute reserves the absolute right to change, replace, or reassign faculty at any time, including during an ongoing batch, at its sole discretion. Such changes shall not be considered a valid ground for withdrawal or refund.
  4. Zell reserves the right, at its sole discretion, to determine and modify batch size and to cancel, postpone, reschedule, merge, increase, decrease, or otherwise modify any batch, Program, live lecture, webinar, course schedule, curriculum, faculty, topics, assignments, tests, quizzes, examinations, projects, evaluations, or any other component of the Program based on operational, academic, or business requirements. Zell further reserves the right to modify, suspend, discontinue, limit, or terminate any Program, Platform, certification, support service, coaching service, evaluation service, or any other associated service, with or without prior notice. Zell shall not be liable to You or any third party for any such modification, suspension, discontinuance, merger, rescheduling, or termination, and nothing in these Terms obligates Zell to continue maintaining or supporting the Platform, Programs, batches, or any associated Services.
  5. Zell Education shall publish and evaluate scores only for mock examinations conducted and made available through the official Zell LMS platform. Mock tests, assessments, or practice examinations attempted through external platforms or sources outside the Zell LMS shall not be considered for evaluation, review, or score publication. Learners are solely responsible for attempting all mock tests and unit tests within timelines communicated by Zell. Failure to attempt any mock test or assessment within the prescribed date or time, for any reason attributable to the learner, shall not entitle the learner to a rescheduled attempt, reopening of the mock test, extension of time, refund, or any other claim.

3. Third-Party Services, Registration, Examinations & Certificates

3.1. Exam and certification bodies

  1. Zell Education shall not be held liable for unavailability of exam centres or failure to secure an exam seat due to delayed action, as exam scheduling and seat allocation are governed directly by the external bodies. Students are advised to proactively check and book available centres to avoid loss of an attempt.
  2. Exemptions or waivers, if applicable, are granted solely by the respective body based on the student's affiliated college, university, and qualifications. Zell Education does not provide any exam fee waivers or discounts.
  3. Enrollment in a Program offered by Zell does not constitute admission to, enrollment in, or registration with any university, educational institution, professional body, or awarding organization. Unless expressly stated otherwise, Programs offered by Zell do not carry academic credit. Where a Program is conducted in collaboration with or affiliated with an Educational Partner, university, or professional body, the grant of any academic credit, certification, qualification, or membership shall be solely at the discretion of such Educational Partner or professional body, governed by its own rules, eligibility criteria, policies, and procedures. Zell has no authority or responsibility in relation to the award of such credit, certification, qualification, or membership.
  4. Zell may issue a certificate of completion, participation, or other acknowledgment for eligible Programs, subject to the learner fulfilling applicable eligibility criteria (attendance, assessments, assignments, fee payment, and other requirements prescribed by Zell). Certain Programs may not include any certificate or acknowledgment. Issuance, format, content, and eligibility criteria for any certificate shall be determined solely by Zell and may vary across Programs. Where a Program is conducted with a third-party awarding body, university, or certification partner, issuance of any certificate shall be subject to that third party's terms, policies, and eligibility criteria.
  5. Zell does not issue or guarantee the issuance of certificates, memberships, or professional qualifications awarded by any external awarding body, regulator, or university.

3.2. Registration and documentation

  1. The learner is solely responsible for submitting complete, accurate, legible, and valid documents required for registration with the relevant professional body, university, or Educational Partner within 15 (fifteen) days from the date of enrollment, or within such timeline as may be prescribed. Failure to submit required documents, submission of incomplete, incorrect, false, misleading, unverifiable, or illegible documents, or failure to pay applicable Program fees may result in delay, rejection, suspension, cancellation, or non-completion of registration, for which Zell shall not be liable. Learners requiring assistance must contact the Customer Experience Team within the prescribed timeline.
  2. Upon submission of the learner's registration documents by Zell to the relevant professional body, university, Educational Partner, or awarding organization, any verification, approval, processing, rejection, delay, suspension, or decision shall be solely governed by the policies and procedures of such third party. Zell shall not be responsible or liable for any delay, rejection, suspension, cancellation, or any other consequence arising from the actions, decisions, or verification processes of such professional body, university, Educational Partner, or awarding organization.

3.3. Websites and external links

  1. The Platform may contain links to third-party websites, applications, platforms, or other external resources ("Linked Sites") that are not owned, operated, or controlled by Zell. Such Linked Sites are provided solely for the convenience of Users. Zell does not control, monitor, endorse, or assume any responsibility for the availability, accuracy, legality, security, privacy practices, content, products, services, advertisements, or other materials available on such Linked Sites. Your access to and use of any Linked Site shall be entirely at Your own risk and shall be governed by the terms, conditions, and privacy policies of the respective third party. Zell shall not be liable for any transactions, agreements, disputes, losses, damages, claims, or obligations arising out of or in connection with Your use of or reliance upon any Linked Site. Zell reserves the right to add, modify, or remove links to any Linked Site at any time without prior notice.
  2. You shall not create, frame, mirror, or establish any hyperlink to the Platform, or represent that Zell has endorsed, sponsored, approved, or is otherwise associated with any website, application, product, or service, without Zell's prior written consent.

4. Payment Terms, Refund & Withdrawal Policy

To ensure fairness and consistency for all Learners, Zell Education follows the payment, refund, withdrawal, and financing policy set out below. By enrolling in any Program, the Learner acknowledges that they have read, understood, and agreed to these terms.

4.1. Fee payment & refund

  1. Learners enrolled in the Pro or Premium Program may request a refund in written within 72 hours from the date of payment, provided no Program services have been availed. An administrative fee of INR 10,000 shall be deducted from the refundable amount, and approved refunds shall be processed by the last date of the month following the month in which the refund request is received.
  2. Learners enrolled in the Lite Program, or those who have financed their Program through an Education Loan/EMI, shall not be eligible for any refund. Further, no refund shall be applicable once the Learner has accessed any Program services (including the learning platform, classes, study materials, mentoring, academic support, or any other Program benefits), confirmed continuation after requesting a refund, or where the enrolment has been treated as final under these Terms. Fees paid towards enrolment are non-refundable and non-transferable except as expressly stated above.
  3. All refund requests must be submitted in writing to [email protected] along with supporting documents, if applicable.
  4. Fees must be paid on or before the due date. Payments overdue by more than three (3) days may attract a late payment penalty and/or suspension of Program access until all outstanding dues are cleared. Zell Education may, at its sole discretion, offer scholarships, promotional discounts, fee waivers, or other financial benefits based on eligibility or promotional criteria. Such benefits shall not entitle any Learner to claim fee revisions, refunds, adjustments, or claim the same benefit offered to another Learner with other Learners. Any payments due to examination bodies, certification authorities, universities, or other external organizations shall be borne directly by the Learner unless expressly stated otherwise by Zell Education.

4.2. NBFC / loan terms & learner responsibility

  1. Where a Learner has opted for an Education Loan, EMI facility, or any financing arrangement through a third-party bank, NBFC, or financial institution, the enrolment shall be treated as final and the 72-hour refund policy shall not apply. All financing arrangements shall be governed exclusively by the terms and conditions of the respective financial partner.
  2. The Learner acknowledges that enrolment in the Program is voluntary and confirms that they have independently assessed their financial commitments before enrolling. Whether the Program is self-funded or financed through a third-party lender, all payment obligations, loan repayments, interest, penalties, charges, and other financial liabilities shall remain solely the responsibility of the Learner. Zell Education shall not be liable for financing approvals, repayment obligations, disputes, defaults, financial hardship, or any consequences arising from such financing arrangements.

4.3. Program changes & limitation of liability

  1. Zell Education reserves the right to revise Program schedules, lecture timings, batches, faculty, mentors, trainers, or other academic resources due to operational requirements, exigencies, or circumstances beyond its reasonable control. Such changes shall not entitle the Learner to cancellation, withdrawal, or refund.
  2. If a Learner's enrollment or access is suspended or terminated due to a breach of these Terms or any applicable policies of Zell Education, such decision shall be final and binding, and no refund shall be payable.
  3. In the event of a force majeure event, including but not limited to acts of God, natural disasters, pandemics, government restrictions, war, civil disturbances or any other event beyond Zell Education's reasonable control, Zell Education shall not be liable to refund fees for services already availed or provide substitute services.
  4. Further, where any Program-related services are provided by third parties, including examination bodies, certification authorities, universities, technology platforms, banks, NBFCs or finance partners, Zell Education shall not be responsible for their decisions, policies, schedules, fees, financing approvals, examination arrangements, certification outcomes, delays or other actions.


5. Career Services & Student Outcomes

5.1. Career services

Subject to the terms of the enrolled plan and fulfillment of the applicable eligibility criteria, Zell Education may provide career support services, including resume building, interview preparation, mentorship, career guidance, and placement assistance.

To remain eligible for placement assistance, students must comply with the applicable eligibility requirements, attendance criteria, assessments, placement process, code of conduct, and other guidelines communicated by Zell Education from time to time.

Students are expected to actively participate in the placement process, attend interviews as scheduled, accept suitable opportunities aligned with their profile, and comply with the hiring company's recruitment process and employment terms. Failure to do so may result in discontinuation of placement assistance.

5.1.1. Additional terms for the Investment Banking Program

Learners enrolled in the Investment Banking Program shall additionally be subject to program-specific eligibility criteria, attendance requirements, assessments, pathway allocation, mock interview requirements, placement timelines, and other guidelines communicated by Zell Education from time to time.

Placement opportunities under the Investment Banking Program shall be offered based on the learner's eligibility, assessment performance, assigned pathway, and prevailing hiring requirements. In the event of any inconsistency between these general terms and the Investment Banking Program guidelines, the Investment Banking Program guidelines shall prevail.

5.2. Disclaimer & limitations

Career support services are provided on a best-effort basis and shall not be construed as a guarantee of employment or career outcomes.

Zell Education does not guarantee:

  • Any internship, placement, job offer, employer, role, salary, compensation, or joining timeline;
  • Placement opportunities in a learner's preferred location;
  • Success in interviews, assessments, professional examinations, certifications, or any specific academic or career outcome.

All hiring decisions, compensation, employment terms, and joining requirements are determined solely by the recruiting organization. Zell Education reserves the right to modify its career services, eligibility criteria, placement process, and related policies at its sole discretion. All decisions of Zell Education shall be final and binding.


6. Institute Rights & Student Conduct

Zell reserves the right to change these Terms from time to time without prior notice. You should review this page regularly as it is under adherence to all “Terms”. Your continued use of the Platform and Programs after changes have been made will be taken to indicate that You have read and accepted those changes.

6.1. Program modifications

  1. User Accounts, User Registration and Delivery of Services – once You've enrolled in a course, transferring to another course isn't allowed. Please make sure to choose Your course carefully before enrolling.

6.2. Suspension/termination

  1. Simultaneous log-ins to the LMS over more than two devices will be construed as a violation of these Terms and will result in denial of LMS access and suspension of the LMS account.
  2. You agree that Zell, in its sole discretion, may deactivate Your account or otherwise terminate Your use of the Platform or enrolment to a Program affected, without prior notice, with or without reason, including if Zell believes that You have:
    • Breached the Terms or any applicable laws;
    • Infringed the intellectual property rights of a third party;
    • Posted, uploaded or transmitted unauthorized Content on the Platform;
    • Violated or acted inconsistently with the letter or spirit of these Terms or any other applicable code of conduct.

6.3. Misconduct

  1. Without limitation, You will not post or transmit, or cause to be posted or transmitted, any communication or solicitation or other “phishing”, “pharming” or “whaling” message designed or intended to obtain passwords, accounts, personal information, confidential information or private information from any User of the Platform or any other third party whatsoever. However, if any such event does take place, Zell shall not be liable for any loss of data or if the User’s device, computer or any other property is compromised in any manner.
  2. You shall not access, use, or attempt to use the Platform in any manner that compromises its security, integrity, availability, or proper functioning. Without limiting the foregoing, You shall not:
    • Access or attempt to access any data, account, server, system, or network for which You are not authorized;
    • Probe, scan, test, or exploit vulnerabilities, or attempt to bypass authentication or security measures;
    • Introduce or transmit any virus, malware, or other malicious code, or engage in overloading, flooding, spamming, mail bombing, denial-of-service attacks, or other disruptive activity;
    • Send unsolicited communications, advertisements, or unauthorized commercial communication through the Platform;
    • Forge, alter, or manipulate packet headers, email headers, metadata, or other identifying information;
    • Use any robot, spider, scraper, crawler, automated script, AI tool, data mining tool, or bot to access, monitor, copy, extract, or interact with the Platform, except through standard web browsers or functionality expressly authorized by Zell; or
    • Otherwise interfere with, disrupt, or attempt to interfere with the normal operation, security, or availability of the Platform or its Services.
  3. Any actual or attempted violation of the above may result in immediate suspension or termination of Your access to the Platform, without prejudice to any other rights or remedies available to Zell.
  4. You shall not engage in any act of intimidation, harassment, abuse, coercion, blackmail, extortion, self-harm threats intended to influence Zell decisions, defamation, dissemination of false, misleading, or malicious information, political or external influence, or any unlawful conduct directed towards Zell Education, its employees, faculty, representatives, affiliates, or service providers. Any such conduct shall constitute a material breach of these Terms. Upon the occurrence of such breach, Zell may, at its sole discretion and without prejudice to any other rights or remedies available under applicable law, suspend or terminate Your access to the Platform, Programs, or Services, refuse further services, and initiate appropriate civil or criminal proceedings or any other legal action necessary to protect its employees, reputation, business interests, and legal rights.

6.4. Content usage & sharing

  1. “Content” means all information, materials, and data made available on or through the Platform or Programs, including text, graphics, logos, software, course materials, presentations, documents, videos, audio recordings, live lectures, quizzes, assignments, code, images, advertisements, interactive features, and other proprietary materials.
  2. All Content available on the Platform or through the Programs (“Zell Content”), including the Platform, software, study materials, lectures, videos, documents, assignments, assessments, trademarks, logos, service marks, trade names, designs, and other intellectual property, is owned by or licensed to Zell and protected under applicable intellectual property laws. Nothing in these Terms transfers any ownership or intellectual property rights to the learner.
  3. You are granted a limited, non-exclusive, non-transferable, and revocable licence to access and use the Platform and Zell Content solely for Your personal educational purposes. Except where expressly permitted by Zell, You shall not copy, reproduce, modify, adapt, distribute, publish, display, transmit, record, download, sell, sublicense, commercially exploit, reverse engineer, or otherwise use any Zell Content or Intellectual Property without Zell's prior written consent.
  4. All trademarks, service marks, logos, trade names, and branding displayed on the Platform are the exclusive property of Zell or their respective owners. Nothing in these Terms grants You any right to use such trademarks without prior written authorization.
  5. Where You submit reviews, comments, feedback, testimonials, assignments, discussion posts, suggestions, or other content (“User Content”), You represent and warrant that:
    • You own or have all necessary rights to submit such User Content;
    • The User Content is accurate and does not violate any law or third-party rights;
    • The User Content is not fraudulent, defamatory, obscene, offensive, discriminatory, misleading, unlawful, or otherwise objectionable; and
    • The User Content does not contain viruses, malicious code, automated scripts, spam, advertisements, commercial solicitations, or material intended to disrupt the Platform or its Users.
    You remain solely responsible for all User Content You submit.
  6. By submitting any User Content, You grant Zell a worldwide, perpetual, irrevocable, royalty-free, non-exclusive, transferable licence to use, reproduce, modify, publish, distribute, display, adapt, translate, and otherwise exploit such User Content for operating, improving, marketing, promoting, and providing the Platform and Programs. Zell may remove, edit, or refuse to publish any User Content at its sole discretion without prior notice.
  7. Zell does not control, endorse, verify, or guarantee the accuracy, completeness, or legality of User Content submitted by learners, and shall not be liable for any loss, damage, claim, or liability arising from it.
  8. Zell respects intellectual property rights and reserves the right to remove any Content alleged or found to infringe any copyright, trademark, or other proprietary right, with or without prior notice. Users may report suspected infringement to the designated Grievance Officer or the official email address notified by Zell.
  9. Any suggestions, ideas, feedback, improvements, reviews, or materials submitted by You, including participation in beta testing or product evaluations, shall become the property of Zell, which shall have the unrestricted right to use such materials without payment or attribution.
  10. If You believe any Content available on the Platform is inaccurate, infringing, offensive, unlawful, or otherwise objectionable, You may notify Zell at [email protected], and Zell may review the matter at its discretion.
  11. By enrolling in a Program and participating in live lectures, webinars, workshops, or other academic activities, You grant Zell a perpetual, worldwide, royalty-free licence to record and use Your name, voice, photograph, image, video recordings, testimonials, or likeness for educational, promotional, advertising, and marketing purposes across any media or platform, without further consent or compensation.

6.5. Disciplinary action

  1. You acknowledge and agree that Zell has the right to report any suspicious or illegal activity to the appropriate legal or police authorities without notice to You.
  2. You must notify Zell immediately of any breach of security or unauthorized use of Your User Account. Zell shall not be liable for any losses caused by unauthorized use of Your Account, and You shall be solely liable for losses caused to Zell or others due to such unauthorized use.
  3. Zell reserves the right to investigate any suspected security breach or unauthorized activity and may cooperate with law enforcement authorities or regulatory agencies in connection with any civil, criminal, or regulatory proceedings.

6.6. Force majeure

Zell shall not be liable for any delay or failure in performing its obligations under these Terms if such delay or failure results from a Force Majeure Event or any circumstance beyond Zell's reasonable control, including but not limited to natural disasters, pandemics, epidemics, war, terrorism, riots, governmental actions, labour disputes, internet or telecommunications failures, power outages, or any other unforeseen event.


7. Referral Policy, General Terms & Student Declaration

7.1. Referral policy

  1. Referral benefits shall be applicable only where the referred learner is successfully recorded as a valid referred lead in Zell Education's system prior to enrollment. Referral benefits shall not apply to learners acquired through paid marketing campaigns, direct enquiries, affiliates, influencers, channel partners, or any other third-party acquisition source.
  2. The referrer must claim the referral benefit within 60 (sixty) days from the date of the referred learner's full enrollment. Any claim made after this period shall not be considered.
  3. Referral bonuses shall be processed and released on the last working day of the month following completion of a minimum of 30 (thirty) days of active enrollment by the referred learner, subject to successful verification, audit, fulfillment of all eligibility criteria, and compliance with the Referral Program Terms.
  4. Zell Education reserves the right to verify and audit all referrals. Referral benefits shall be payable only upon successful completion of such verification and audit. Zell reserves the right to reject, withhold, suspend, or cancel any referral benefit where it reasonably believes the referral does not satisfy the applicable eligibility criteria or violates these Terms.
  5. No referral benefit shall be payable for enrollments made through the SabPaisa finance partner or for enrollments made under discounted pricing, promotional offers, scholarships, concessions, special fee structures, or any pricing other than the prevailing brochure price, unless expressly approved by Zell.
  6. Zell shall not be liable for any delay, failure, or inability to release the referral bonus due to incorrect, incomplete, or invalid bank account details, rejected or failed transactions, banking errors, or any other reason attributable to the referrer or receiving bank. Upon receipt and verification of correct banking details, the referral bonus, if otherwise eligible, shall be processed in the subsequent payment cycle.
  7. Zell reserves the right to modify, suspend, withdraw, or discontinue the Referral Program, including the referral bonus amount, eligibility criteria, or any other program terms, at its sole discretion and without prior notice.

7.2. Limitation of liability

  1. The Platform, Programs, Services, and all Zell Content are provided on an “as is” and “as available” basis. While Zell endeavors to keep information accurate and up to date, the Platform or Programs may contain typographical errors, inaccuracies, omissions, or outdated information. Zell reserves the right to correct, modify, update, remove, or discontinue any Content, feature, Program, Service, or part of the Platform at any time, with or without prior notice.
  2. To the fullest extent permitted by applicable law, Zell disclaims all express, implied, statutory, or other warranties, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, reliability, availability, uninterrupted access, security, or error-free operation. Zell does not warrant that any defects will be corrected or that the Platform or its servers will be free from viruses, malware, or other harmful components.
  3. Any information, advice, guidance, study material, or Content made available through the Platform or Programs is provided solely for educational and informational purposes. No oral or written communication from Zell shall constitute any warranty, guarantee, or representation unless expressly stated in writing.
  4. Your use of the Platform, Programs, Services, and any Content downloaded or otherwise obtained is entirely at Your own risk. You shall be solely responsible for any damage to Your device, software, systems, data, or any other loss arising from such use or download.
  5. To the maximum extent permitted under applicable law, Zell, its affiliates, directors, officers, employees, faculty, agents, licensors, vendors, Educational Partners, and service providers shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including but not limited to loss of profits, business interruption, goodwill, opportunity, data, reputation, or any other commercial loss arising out of or in connection with the use of, inability to use, or reliance upon the Platform, Programs, Services, or Zell Content, whether arising in contract, tort, negligence, strict liability, or otherwise.
  6. If You believe that any information or Content available on the Platform is inaccurate, infringes Your rights, or should not be displayed, You may notify Zell at [email protected], and Zell may review the matter at its sole discretion.
  7. You agree to indemnify and hold Zell and its Educational Partners harmless from any and all claims, liabilities, damages, losses and expenses, including reasonable attorneys' fees and costs, relating to or arising out of: (a) Your use or attempted use of the Platform or Programs in violation of the Terms; (b) Your violation of any law or rights of any third party; or (c) information or Content that You or others post or otherwise make available on the Platform or through any Program, including any claim of infringement or misappropriation of intellectual property or other proprietary rights.

7.3. Acceptance of terms

  1. By accepting the Terms through Your use of the Platform, You certify that You are 18 years of age or older. If You are under 18, or under the legal age in Your jurisdiction to enter into a binding contract, You may use the Platform only under the supervision of a parent or legal guardian who agrees to be bound by the Terms. If the learner is below 18 at the time of enrollment, the learner represents and warrants that they have obtained the consent of their parent or legal guardian to enroll and accept these Terms. Parents or legal guardians agreeing to the Terms for the benefit of a child below 18 are fully responsible for the child's use of the Platform, including all financial charges and legal liability incurred with Zell or any partnered entity.
  2. Zell may assign, transfer, delegate, or otherwise deal with any of its rights or obligations under these Terms without prior notice. You shall not assign, transfer, delegate, or otherwise dispose of any of Your rights or obligations without Zell's prior written consent, and any attempted assignment in violation of this clause shall be null and void.
  3. No failure or delay by Zell in exercising any right, power, or remedy under these Terms shall constitute a waiver of that right, power, or remedy.

7.4. Governing law & jurisdiction

These Terms, the Enrollment Agreement, and any Program-specific terms shall be governed by and construed in accordance with the laws of India.

7.5. Dispute resolution & customer support

  1. The parties shall first attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms through good faith negotiations. If not resolved amicably, it shall be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996, as amended. The arbitration shall be conducted by a sole arbitrator appointed by Zell. The seat and venue of arbitration shall be Mumbai, Maharashtra, India, with proceedings conducted in English.
  2. Subject to (a) above, the courts at Mumbai, Maharashtra shall have exclusive jurisdiction over all matters arising out of or in connection with these Terms where judicial intervention is permitted under applicable law.
  3. Zell Education provides centralized support for all academic and non-academic queries. Learners may contact the Customer Experience Team through [email protected] or the official WhatsApp/contact number +91 7026261490. Zell reserves the right to modify or update its official communication channels from time to time.
  4. Learners are required to communicate only through Zell Education's official communication channels. Official support hours are 11:00 a.m. IST to 7:00 p.m. IST on weekdays, and 8:30 a.m. IST to 5:30 p.m. IST on weekends. Learners outside India are required to initiate communication by WhatsApp before placing a call. Learners should ensure Zell's official contact number is saved and are advised not to unsubscribe from official email communications. Zell shall not be liable for missed communications, updates, deadlines, or other consequences arising from unsaved contact details, unsubscribed email preferences, or any other action attributable to the learner.
  5. Upon receipt of a grievance or support request, Zell may generate a ticket for tracking purposes. Learners should quote the ticket reference in future correspondence relating to the same issue. Zell shall endeavour to acknowledge grievances within 72 hours and provide a resolution within 15 working days, subject to complexity, keeping the learner informed where additional time is required.

7.6. Entire agreement

These Terms, together with the Enrollment Agreement, Privacy Policy, Refund Policy, and any Program-specific terms published or communicated by Zell from time to time, constitute the complete and entire agreement between You and Zell and supersede all prior discussions, communications, understandings, representations, or agreements relating to the subject matter hereof.

7.7. No reliance on verbal assurances

You acknowledge that Your decision to enroll has not been made in reliance upon any oral statement, promise, assurance, representation, or warranty made by any employee, counsellor, faculty member, business development representative, agent, or any other person on behalf of Zell, unless expressly confirmed in writing by an authorized representative of Zell. In the event of any inconsistency between any verbal communication and these Terms, these Terms shall prevail.

7.8. Student declaration and signature

  1. By submitting Your details and enrolling with Us, You expressly consent to receive communications from Us and Our authorized service providers via phone calls, SMS, WhatsApp, email, or other electronic means regarding admissions, counselling, course updates, academic support, payment reminders, promotional offers, and other services related to Your enrolment. This consent is provided voluntarily and operates notwithstanding Your registration under the National Customer Preference Register (NCPR) or any Do Not Disturb (DND) preference, to the extent permitted under applicable law.
  2. Owing to certain exceptional circumstances, if Zell has granted You access to a Program pending payment and You fail to make the required payment within the stipulated timeline, Zell may, at its sole discretion, withdraw Your access to the Program without prior notice.
  3. As a Student, You agree that You are registering with the intent to complete the assignments, if any, that are relevant and applicable to the Platform or Programs into which You have enrolled.
  4. You have read, understood, and accepted these Terms & Conditions, the Refund & Withdrawal Policy, the Privacy Policy, and any Program-specific terms applicable to Your enrollment.

8. Annexure A – Payment Delay & Suspension

  • Five days' delay (from the due payment date, 1st to 5th day), for whatever reason, will attract a penalty of Rs. 1,000.
  • After 10 days' delay (1st to 10th day past the due payment date), for whatever reason, Zell reserves the right to temporarily block the User's access to the Programs.
  • Further extension of the delay in payment, for whatever reason, can be treated as permanent suspension of the User's access to the Programs, and considered a dropout due to payment default.
  • After a permanent suspension or dropout is declared due to payment default, if the User wishes to continue the Program, the User will need to:
    • Re-register by paying registration fees (applicable after non-payment of fees);
    • Pay complete outstanding fees and any penalty charges due to the delay in payment.
  • Zell reserves the final right to decide on the re-registration of the User in the program.
  • Users are responsible for providing accurate information for the admission process and documentation. Any error rectification request due to wrong and/or inaccurate information provided by the User will be charged separately.
  • Users are strictly expected to fulfil their payment schedule commitment, as mutually agreed and mentioned on their invoice.
  • Users are supposed to receive an invoice at the time of admission, and a payment receipt within 24 hours after every transaction. It is the User's responsibility to bring it to Our notice if they do not receive an invoice or payment receipt within this timeline.
  • It is the User's responsibility to pay their fees on time without any reminders.
